1. Engagement & Contracting Capacity

Dhiti Tech operates as a boutique digital engineering and design practice led by Nirvaan. To guarantee full legal enforceability under Section 11 of the Indian Contract Act (1872), all high-ticket commercial contracts, master service agreements (MSAs), and formal purchase orders are executed with parental/legal guardian representation and verified invoicing.

2. Scope of Work & Milestone Payments

Every bespoke web application, presentation deck, or branding project is defined by an agreed scope of work schedule. Standard commercial terms:

  • Advance Deposit: 50% mobilization deposit required prior to development kickoff.
  • Final Delivery: 50% final milestone payable upon staging review and prior to DNS transfer or final repository handover.
  • Scope Creep: Any features, integrations, or pages requested outside the initial agreed specification are billed separately at our published hourly/addon rate.

3. Intellectual Property (IP) Transfer & File Ownership

"You Own All Files (100%)" is our core policy. However, under the Copyright Act, 1957, complete title, source code copyright, Figma files, and design assets formally transfer to the client only upon 100% receipt of final payment.

Dhiti Tech retains the right to display non-confidential visual previews and case study summaries in our portfolio unless a formal Non-Disclosure Agreement (NDA) specifies otherwise.

4. Revisions & Satisfaction Warranty

  • All packages include up to 3 structured revision rounds during the prototyping and staging phases.
  • A revision round constitutes refinement of design elements, copy adjustments, or styling refinements within the agreed scope. Complete architectural redesigns after milestone approval are treated as new scope.

5. Governing Law & Dispute Resolution

These terms are governed by the laws of India. Any disputes arising in connection with these terms shall be subject to the exclusive jurisdiction of the competent courts in India.
